Why Incorporate a Company in Singapore?

Singapore stands out as one of the most trusted jurisdictions for company incorporation, offering a compelling mix of economic resilience, regulatory clarity, and investor confidence. Its pro-business policies, legal transparency, and efficient governance structure make it an ideal launchpad for enterprises looking to operate in Asia or scale globally.

Additionally, Singapore’s government has demonstrated its commitment to nurturing entrepreneurship and supporting local enterprises. In the Year of Assessment 2005, it introduced the Start-Up Tax Exemption (SUTE) scheme, which provides tax benefits to new businesses. This initiative was specifically designed to encourage the growth of local startups and offer them a competitive edge.

Furthermore, the government, in its 2018 budget, made adjustments to the SUTE scheme to enhance its support for businesses looking to develop their capabilities. From the Year of Assessment 2020 onwards, the revised SUTE—together with the Partial Tax Exemption Scheme—continues to deliver meaningful tax relief for qualifying companies as they grow and reinvest.

This demonstrates Singapore’s ongoing dedication to creating a business-friendly environment and fostering entrepreneurship, making it an ideal choice for company incorporation. The next step is looking for the right Singapore incorporation service provider to help you do so.

Choose the Company Type You Want to Incorporate

In Singapore, there are four different business entity types you can choose from:

  • Sole-Proprietorship or Partnership: A business entity that is fully owned and controlled by a single individual (Sole Proprietorship). There are no partners in this type of business structure, and the business entity and the individual are not legally distinct. A business entity owned by at least two individuals who intend on running business operations together and sharing liabilities (Partnership)
  • Limited Partnership (LP): A partnership consisting of two or more partners, with one limited partner and at least one general partner. General partners are liable for all actions of the limited partner.
  • Limited Liability Partnership (LLP): A partnership consisting of two or more partners, with co-partners being protected from any acts of commission or omission by other partners. Partners of an LLP cannot be held liable for acts of wilful misconduct or negligence of other partners. These can be incorporated as Private Company Limited by Shares, Public Company Limited by Shares, and Public Company Limited by Guarantee.
  • Company: A business entity registered under the Companies Act, Chapter 50.

Foreign companies that intend to establish a company in Singapore can do so under the following entities:

  • Subsidiary company: A locally incorporated private limited company wholly owned by its foreign parent, enjoying limited liability and full compliance under Singapore’s corporate governance framework.
  • Representative office: A Representative Office (RO) is a temporary, non-commercial entity allowing foreign companies to explore the Singapore market without engaging in revenue-generating or operational business activities.
  • Branch office: A branch office is established as an extension of its parent company with no legal separation; liabilities remain with the head office. Requires a local authorised representative and full statutory compliance.

There are 4 types of companies:

  • Private company limited by shares
  • Exempt private company
  • Public company limited by shares
  • Public company limited by guarantee

Steps to Incorporating a Company in Singapore

Step 1: Determining business entity type

One of the first steps involves determining your corporate structure. Which business entity supports your objectives best? When deciding on a corporate structure, consider who the shareholders of your company are, the size of each share, who the directors are, and the initial share capital of the company. It also helps to weigh the advantages and disadvantages of each business type while keeping in mind your ultimate goals to arrive at the best decision. Your risk appetite is also a significant factor and affects the business entity type that you choose.

Step 2: Decide on a company name

Choosing an appropriate company name can be difficult. Adding to this conundrum is having to ensure that your company name has not already been taken up by another business. To check if your shortlisted names are available for you to register, search them on the Accounting and Corporate Regulatory Authority (ACRA) website. Take care to ensure you have spelt the name correctly. Registering your name would cost S$15.

During this process, you would also have to indicate the nature of your business using the Standard Industrial Classification (SSIC) codes. For example, if you’re starting an advertising business, the corresponding SSIC code is 73100. Upon receiving the approval of your application, complete your company incorporation in Singapore within 120 days, or you will need to restart the application process.

Step 3: Prepare the required documents

Once your company name has been approved, prepare the following legal documents:

  • Company constitution
  • Consent from company directors
  • Consent from company secretaries
  • Declaration of the company’s controllers

For Singapore residents, submit these documents on Bizfile+ to complete your application. To log into the Bizfile+ portal, use your Singpass. You will be asked for your transaction number, which was provided during the application of your company name.

Once the name application fee is paid, it takes as little as 15 minutes to have your application processed and for your company to be incorporated. However, if approval needs to be sought by other agencies, the process can take between 14 days to 2 months.

In Singapore, the minimum issued share capital required to incorporate a company is S$1. This makes it accessible for many to start a company, though the actual amount of share capital can be higher depending on your business needs and goals. Share capital can be issued fully paid or partly paid, and any unpaid share capital represents future financial commitments by the shareholders.

Every company must have at least one shareholder, regardless of its type. For private limited companies, there is a maximum limit of 50 shareholders. Unlimited public companies, however, can have more than 50 shareholders.

Incorporating in Singapore comes with several tax benefits. New companies can benefit from the Start-up Tax Exemption Scheme, which provides partial tax exemptions on profits for the first three years. After the initial period, the Partial Tax Exemption Scheme offers continued relief for small and medium-sized businesses. For larger companies, the Group Relief system allows unutilised losses and allowances to be transferred within a group, reducing the overall tax burden.
